Shipper Agreement

Carico Jamaica Limited · caricojm.com · Last updated: 9th October 2026

This Shipper Agreement (the "Agreement") is between Carico Jamaica Limited, a company incorporated in Jamaica ("Carico", "we", "us"), and the person or business that registers a shipper account on the Carico platform ("Shipper", "you"). By creating an account, subscribing, or posting a load, you accept this Agreement, our Terms of Use and our Privacy Policy. If you accept on behalf of a business, you confirm you are authorised to bind it.

1. What Carico is — and what it isn't

1.1
Carico operates an online load board (the "Platform") that lets shippers post loads and connect with independent carriers operating cargo vans and box trucks across Jamaica's 14 parishes.
1.2
Carico is a technology marketplace. We are not a carrier, freight forwarder, customs broker, warehouse or insurer. We do not take possession of, transport, handle or insure any goods.
1.3
When you agree a job with a carrier, the contract of carriage is between you and that carrier only. Carico is not a party to it and is not responsible for its performance.

2. Eligibility and your account

2.1
You must be at least 18, legally able to contract in Jamaica, and (for businesses) validly registered.
2.2
You must give accurate information, including your name or business name, contact details and Taxpayer Registration Number (TRN) where requested, and keep it up to date.
2.3
You are responsible for everything done under your account. Keep your login secure and tell us immediately at [support email] if you suspect unauthorised use.

3. Plans and payment

3.1
Ways to pay. To post loads and contact carriers, you can either:
  • pay per post: pay a one-time fee for each load you post; or
  • subscribe: pay a recurring subscription that covers the loads and features included in your plan.
Per-post fees, plan features, limits and prices are shown on the Pricing page at the time you pay. You can switch between pay-per-post and a subscription at any time.
3.2
All fees are charged in Jamaican dollars (JMD), in advance, through our payment processor, Ezee Payments. Prices include or exclude General Consumption Tax (GCT) as stated on the Pricing page.
3.3
Per-post fees. A per-post fee is charged when you publish the load and covers one listing until its pickup date [or for [x] days, whichever is sooner]. Editing a load before it is booked is free. Reposting a load that has expired or been cancelled counts as a new post.
3.4
Auto-renewal. Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You can cancel any time from your Shipper Dashboard; cancellation takes effect at the end of the current period.
3.5
Refunds. Fees already paid are non-refundable, except where required by law (including the Consumer Protection Act) or where Carico ends your account without cause under clause 11.3. This includes per-post fees for loads that are not booked, and subscription fees for partial periods. If Carico removes a load in error, we will restore it or refund its per-post fee.
3.6
Price changes. We will give at least 30 days' notice of any change to subscription prices, applying from your next renewal after the notice period. Changes to per-post fees apply to loads posted after the change takes effect.
3.7
If a payment fails, we may suspend posting access until the balance is paid.

4. Posting loads

4.1
Every load listing must be accurate and complete, including: pickup and delivery locations and parishes, dates and time windows, description of goods, approximate weight and dimensions, number of pieces, vehicle type required, any special handling needs, and the rate offered or whether the rate is open to quotes.
4.2
You must disclose anything that affects safe carriage: fragile, perishable, high-value or temperature-sensitive goods, and any loading or access restrictions at either location.
4.3
You must not post loads that are illegal, misleading, or not genuinely available, or that are posted only to collect carrier details.

5. Prohibited and restricted goods

5.1
You must not use the Platform to ship:
  • illegal drugs or controlled substances;
  • firearms, ammunition or explosives;
  • stolen, counterfeit or smuggled goods;
  • hazardous or dangerous goods (flammable, toxic, corrosive or similar), unless the carrier has confirmed in writing that it is licensed and equipped to carry them and all legal requirements are met;
  • live animals, unless expressly agreed with the carrier;
  • cash, bullion or negotiable instruments;
  • any goods whose carriage is prohibited under Jamaican law.
5.2
You are solely responsible for ensuring your goods are lawful, correctly described and properly packaged, labelled and documented.

6. Working with carriers

6.1
Verification. Before a carrier can accept loads, Carico checks that it has provided a valid Public Carrier (Goods) Licence issued by the Transport Authority of Jamaica and a current Public Commercial Vehicle (PCV) insurance policy, together with [driver's licence, vehicle registration and certificate of fitness]. We re-check documents when they expire.
6.2
Verification confirms that documents were provided and appeared valid when checked. It is not a guarantee of a carrier's conduct, performance, solvency, or that its insurance will respond to any particular claim. You should confirm any details that matter to you before booking.
6.3
You and the carrier agree the rate, schedule, and any cargo insurance, waiting time, loading assistance or cancellation terms between yourselves. We recommend confirming these in writing through Platform messaging.
6.4
Payment for carriage. You pay the carrier directly for each job, on the rate and payment terms you agree with the carrier. Freight payments do not pass through the Platform. Carico does not collect, hold, process or guarantee payment for carriage, and is not responsible for any payment dispute between you and a carrier.
6.5
You must provide safe access at pickup and delivery, have goods ready at the agreed time, and have someone available to release and receive them.

7. Loss, damage and delay

7.1
Claims for loss, damage or delay to goods are between you and the carrier (and its insurer). Carico is not liable for goods in transit.
7.2
PCV insurance is a motor policy and may not cover the goods you ship. If your goods need cover, arrange goods-in-transit or cargo insurance yourself, or confirm the carrier holds it before booking.
7.3
If a dispute arises with a carrier, you may report it to us. We may review messages and records, and may suspend or remove a carrier, but we are not obliged to resolve the dispute or compensate either party.

8. Ratings, reviews and conduct

8.1
After a job, you may rate and review the carrier. Reviews must be honest, based on real experience, and free of abusive, discriminatory or defamatory content. We may remove reviews that break these rules.
8.2
You must treat carriers with respect, not harass or threaten them, and not use carrier contact details for anything other than the relevant job.
8.3
You must not scrape, copy or resell Platform data, interfere with the Platform's operation, or create multiple or false accounts.

9. Data and privacy

9.1
We handle personal data in line with our Privacy Policy and the Data Protection Act, 2020.
9.2
Carrier personal data you receive through the Platform may only be used to arrange and complete the relevant job. You must keep it secure and not share it with third parties.

10. Liability and indemnity

10.1
The Platform is provided "as is" and "as available". We don't guarantee that loads will be accepted, that carriers will be available on any date or route, or that the Platform will be uninterrupted or error-free.
10.2
To the fullest extent permitted by law, Carico is not liable for: loss of or damage to goods; acts or omissions of carriers; indirect or consequential loss; or loss of profit, revenue, business or goodwill.
10.3
To the fullest extent permitted by law, Carico's total liability to you under this Agreement is limited to the subscription fees you paid in the three (3) months before the event giving rise to the claim.
10.4
Nothing in this Agreement limits liability that cannot be limited under Jamaican law, including under the Consumer Protection Act.
10.5
You will indemnify Carico against claims, losses and costs arising from your breach of this Agreement, your goods, or your dealings with carriers.

11. Suspension and termination

11.1
You may close your account at any time from your dashboard. Clause 3.4 applies to any active subscription.
11.2
We may suspend or terminate your account immediately if you breach this Agreement, post prohibited goods, provide false information, fail to pay, or if we reasonably suspect fraud or unlawful activity.
11.3
We may also end your account on 30 days' notice for any reason; if we do so without cause, we will refund the unused portion of any prepaid fees.
11.4
Clauses 7, 9, 10 and 13 survive termination.

12. Changes to this Agreement

We may update this Agreement. We'll give at least 30 days' notice of material changes by email or in your dashboard. Continuing to use the Platform after the effective date means you accept the changes.

13. Governing law and disputes

13.1
This Agreement is governed by the laws of Jamaica.
13.2
If a dispute arises between you and Carico, contact us first at [legal/support email] and both sides will try in good faith to resolve it within 30 days. If it isn't resolved, either party may refer it to mediation through the Dispute Resolution Foundation of Jamaica. If mediation fails, the courts of Jamaica have exclusive jurisdiction.

14. General

14.1
This Agreement, the Terms of Use and the Privacy Policy form the entire agreement between you and Carico on this subject.
14.2
You agree to receive notices and to contract electronically, in line with the Electronic Transactions Act.
14.3
If any clause is found unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver of it. You may not transfer this Agreement without our consent.

Carrier Agreement

Carico Jamaica Limited · caricojm.com · Last updated: 9th October 2026

This Carrier Agreement (the "Agreement") is between Carico Jamaica Limited, a company incorporated in Jamaica ("Carico", "we", "us"), and the individual or business that registers a carrier account on the Carico platform ("Carrier", "you"). By creating an account, subscribing, or accepting a load, you accept this Agreement, our Terms of Use and our Privacy Policy. If you accept on behalf of a business, you confirm you are authorised to bind it.

1. What Carico is — and what it isn't

1.1
Carico operates an online load board (the "Platform") where shippers post loads and verified carriers operating cargo vans and box trucks find and accept work across Jamaica's 14 parishes.
1.2
Carico is a technology marketplace. We are not a carrier, dispatcher, employer or insurer, and we do not assign work to you. You choose which loads to pursue.
1.3
When you agree a job with a shipper, the contract of carriage is between you and that shipper only. Carico is not a party to it.
1.4
Independent status. You are an independent business. Nothing in this Agreement makes you an employee, agent, partner or joint venturer of Carico. You control how, when and whether you work, and you are responsible for your own vehicles, drivers, fuel, maintenance, taxes (including income tax, NIS and GCT where applicable) and business expenses.

2. Eligibility and verification

2.1
To be verified and accept loads on the Platform, you must hold and keep current:
  • a valid Public Carrier (Goods) Licence issued by the Transport Authority of Jamaica for each vehicle you use on the Platform;
  • a current Public Commercial Vehicle (PCV) insurance policy for each such vehicle;
  • valid motor vehicle registration and certificate of fitness for each vehicle;
  • a valid driver's licence of the correct class for every driver who performs Platform jobs;
  • your Taxpayer Registration Number (TRN), and business registration details if operating as a company;
  • [any other documents Carico specifies, e.g. police record or goods-in-transit insurance for certain load types].
2.2
You must upload clear, genuine copies of these documents. We will review them and may contact the issuer or insurer to confirm them.
2.3
You must upload renewed documents before the old ones expire. If any required document expires, is suspended or is cancelled, you must stop accepting loads and tell us within 24 hours. We may automatically pause your account until valid documents are provided.
2.4
Providing false, altered or someone else's documents will result in immediate termination and may be reported to the relevant authorities.
2.5
Only vehicles and drivers registered and verified on your account may be used for Platform jobs.

3. Subscription and payment

3.1
Accessing and accepting loads requires an active paid carrier subscription. Plan features and prices are shown on the Pricing page when you subscribe.
3.2
Fees are charged in Jamaican dollars (JMD), in advance, through our payment processor, Ezee Payments. Prices include or exclude General Consumption Tax (GCT) as stated on the Pricing page.
3.3
Auto-renewal. Your subscription renews automatically unless you cancel before the renewal date. Cancellation from your Carrier Dashboard takes effect at the end of the current billing period.
3.4
Refunds. Fees paid are non-refundable, including for partial periods and for periods your account is paused because documents have expired, except where required by law or where Carico ends your subscription without cause under clause 11.3.
3.5
We will give at least 30 days' notice of any price change, applying from your next renewal after the notice period.
3.6
A subscription gives access to the load board. It does not guarantee any number of loads, routes or earnings.

4. Accepting and performing loads

4.1
Only accept loads you are licensed, insured, equipped and available to carry, in a suitable vehicle.
4.2
Once you accept a load, you must:
  • arrive at pickup within the agreed window;
  • check the goods against the listing and raise any discrepancy before loading;
  • load, secure and carry the goods safely and legally, without overloading the vehicle;
  • deliver to the agreed location within the agreed window, keeping the shipper informed of any delay;
  • obtain proof of delivery (e.g. a signature or photo) where the shipper requests it.
4.3
You must comply with the Road Traffic Act and all other applicable laws, including rules on vehicle weight, working hours and road safety.
4.4
Subcontracting. You must not pass a load to another carrier or driver who is not verified on your account without the shipper's prior written agreement.
4.5
Cancellations. If you must cancel an accepted load, tell the shipper as early as possible through the Platform. Repeated late cancellations or no-shows may lead to suspension.
4.6
Right to refuse. You may refuse any load, including where goods do not match the listing, appear illegal or unsafe, or are not properly packaged.

5. Rates and payment for carriage

5.1
You and the shipper agree the rate and any extras (waiting time, loading help, multiple drops) between yourselves. Carico does not set freight rates.
5.2
The shipper pays you directly for each job, on the rate and payment terms you agree. Freight payments do not pass through the Platform. Carico does not collect, hold, process or guarantee payment for carriage, and is not liable if a shipper pays late or fails to pay. You are responsible for agreeing clear payment terms before accepting a load.
5.3
You are responsible for issuing any receipts or invoices and for accounting for any taxes on your earnings.

6. Goods, loss and damage

6.1
While goods are in your care, you are responsible for them as agreed with the shipper and as required by law.
6.2
Claims for loss, damage or delay are between you and the shipper. Carico is not liable for goods in transit.
6.3
PCV insurance is a motor policy and may not cover the goods you carry. Carico strongly recommends goods-in-transit (cargo) insurance. Where a load listing requires it, you must hold it before accepting that load.

7. Prohibited goods

You must not knowingly carry, and must refuse, any goods listed as prohibited in the Shipper Agreement, including illegal drugs, firearms, ammunition, explosives, stolen or counterfeit goods, and hazardous goods you are not licensed and equipped to carry. Report suspicious loads to Carico and, where appropriate, the police.

8. Ratings, reviews and conduct

8.1
Shippers may rate and review you after each job, and you may rate shippers. Reviews must be honest and free of abusive, discriminatory or defamatory content.
8.2
Your rating is visible to shippers. Carico may suspend carriers whose ratings or complaint record fall below [threshold], after giving you a chance to respond.
8.3
You must behave professionally, keep your vehicle clean and roadworthy, and not harass, threaten or overcharge shippers.
8.4
You must not use shipper contact details for anything other than the relevant job, scrape Platform data, or create multiple or false accounts.

9. Your profile and data

9.1
You permit Carico to display your business name, vehicle type(s), service parishes, verification status and ratings to shippers. Documents such as licences and insurance certificates are not shown publicly.
9.2
We handle personal data in line with our Privacy Policy and the Data Protection Act, 2020. Shipper personal data you receive may only be used for the relevant job and must be kept secure.

10. Liability and indemnity

10.1
The Platform is provided "as is" and "as available". We don't guarantee load volumes, earnings, or uninterrupted service.
10.2
To the fullest extent permitted by law, Carico is not liable for: acts or omissions of shippers; non-payment by shippers; road accidents, fines or vehicle damage; indirect or consequential loss; or lost earnings or profits.
10.3
Carico's total liability to you is limited to the subscription fees you paid in the three (3) months before the event giving rise to the claim. Nothing limits liability that cannot be limited under Jamaican law.
10.4
You will indemnify Carico against claims, fines, losses and costs arising from your breach of this Agreement, your vehicles or drivers, any accident or incident, or your carriage of goods.

11. Suspension and termination

11.1
You may close your account at any time. Clause 3.3 applies to any active subscription.
11.2
We may suspend or terminate your account immediately if: required documents expire or are invalid; you provide false information; you breach this Agreement or the law; you receive serious or repeated complaints; or we reasonably suspect fraud, theft or unsafe conduct.
11.3
We may also end your account on 30 days' notice for any reason; if we do so without cause, we will refund the unused portion of any prepaid fees.
11.4
Clauses 6, 9, 10 and 13 survive termination.

12. Changes to this Agreement

We'll give at least 30 days' notice of material changes by email or in your dashboard. Continuing to use the Platform after the effective date means you accept them.

13. Governing law and disputes

13.1
This Agreement is governed by the laws of Jamaica.
13.2
Disputes between you and Carico go first to good-faith discussion for 30 days, then (if either party chooses) mediation through the Dispute Resolution Foundation of Jamaica. If unresolved, the courts of Jamaica have exclusive jurisdiction.

14. General

14.1
This Agreement, the Terms of Use and the Privacy Policy form the entire agreement between you and Carico on this subject.
14.2
You agree to contract and receive notices electronically, in line with the Electronic Transactions Act.
14.3
If any clause is unenforceable, the rest remains in effect. Failure to enforce a right is not a waiver. You may not transfer this Agreement without our consent.

Advertiser Terms

Carico Jamaica Limited · caricojm.com · Last updated: 9th October 2026

These Advertiser Terms (the "Terms") govern advertising on the Carico platform. They are between Carico Jamaica Limited ("Carico", "we", "us") and the business that creates an advertiser account or books a campaign ("Advertiser", "you"). By creating an account, submitting a campaign or paying for advertising, you accept these Terms, our Terms of Use and our Privacy Policy. If you act for a client as an agency, you confirm you are authorised to bind that client and you are jointly responsible with it under these Terms.

1. Definitions

•

Platform: caricojm.com, the shipper and carrier dashboards, the load board, and any Carico emails or notifications that carry advertising.

•

Campaign: an advertising order you create and pay for, with its placements, audience, dates and budget.

•

Creative: the images, text, logos, links and other material you supply for a Campaign.

•

Placement: a position on the Platform where ads appear, as described on the Advertise page and in the Campaign builder.

•

Impression: one display of your Creative to a user, as recorded by Carico's systems. Click: one user click on your Creative, as recorded by Carico's systems.

2. Your advertiser account

2.1

You must be a registered business (or sole trader) able to contract in Jamaica and provide accurate business details, including your TRN and a contact person.

2.2

You are responsible for all activity under your account and for keeping login details secure.

2.3

Advertisers in regulated sectors must hold the licences required to offer their products in Jamaica. For example, insurance providers must be registered with the Financial Services Commission. We may ask for proof before approving a Campaign.

3. Campaigns and pricing

3.1

You create Campaigns in the Advertiser Dashboard by choosing placements, audience, dates, budget and Creative. Available pricing models are shown in the Campaign builder and may include: a flat fee for a fixed period or sponsorship; cost per thousand impressions (CPM); and cost per click (CPC).

3.2

All prices are in Jamaican dollars (JMD) and are exclusive of General Consumption Tax (GCT) unless stated otherwise.

3.3

Payment. Campaigns are prepaid through our payment processor, Ezee Payments. A Campaign will not go live until payment is confirmed. [Invoicing on credit terms may be offered to approved advertisers by written agreement.]

3.4

Delivery. For CPM and CPC Campaigns, we will aim to deliver your budget evenly over your chosen dates, but we do not guarantee a specific number of impressions or clicks unless your order states a guaranteed volume. Delivery depends on Platform traffic and your targeting.

3.5

Under-delivery. If a Campaign with a guaranteed volume under-delivers, we will, at our option, extend it at no charge until the volume is met or credit the undelivered portion to your account.

3.6

Unspent budget. Unspent budget on a CPM or CPC Campaign stays in your account as credit for future Campaigns for [12] months, or is refunded on request if you close your account.

4. Review and approval

4.1

Every Campaign and Creative is reviewed before it runs. We aim to complete review within [2] business days.

4.2

We may reject, pause or remove any Creative or Campaign at our discretion, including if it breaches these Terms, the law, or is likely to harm user trust. We will tell you why where reasonably possible and let you resubmit.

4.3

Approval is not an endorsement and does not confirm your Creative is lawful. Compliance remains your responsibility.

5. Creative standards

5.1

Creative must meet the technical specifications in the Campaign builder (sizes, file types, character limits).

5.2

Creative must be accurate, lawful and not misleading, in line with the Consumer Protection Act and the Fair Competition Act. Prices, offers and terms stated in ads must be honoured.

5.3

Creative and landing pages must not:

  • imply that Carico endorses, partners with or verifies your business, unless agreed in writing;
  • imitate Carico's branding, verification badges or Platform interface;
  • contain malware, deceptive redirects, or collect personal data without a lawful basis;
  • be offensive, discriminatory, sexually explicit, violent or defamatory;
  • infringe anyone's intellectual property, privacy or image rights.

6. Prohibited and restricted categories

6.1

We do not accept advertising for: tobacco and vaping products; illegal drugs or drug paraphernalia; weapons and ammunition; gambling and lotteries [unless approved in writing]; adult content; get-rich-quick, pyramid or multi-level schemes; unlicensed financial, lending or insurance products; competing load board or freight-matching platforms; and political or election advertising.

6.2

Alcohol advertising is not accepted, given the Platform's audience of commercial drivers.

6.3

We may add categories to these lists at any time. Existing Campaigns in a newly restricted category may be stopped, with unspent budget credited or refunded.

7. Targeting and data

7.1

You may target by the audience options shown in the Campaign builder, such as user type (shippers, carriers or both), parish and vehicle type.

7.2

Carico does not sell or share users' personal data with advertisers. Campaign reports contain aggregated, de-identified data only.

7.3

If users give you personal data directly (for example, by clicking through to your site or submitting an enquiry), you are the data controller for that data and must handle it in line with the Data Protection Act, 2020 and your own privacy notice.

7.4

You must not attempt to identify individual users from Campaign data, or use ads to collect Platform data.

8. Metrics and reporting

8.1

Campaign metrics are shown in your Advertiser Dashboard. Carico's recorded figures are the basis for delivery and billing.

8.2

We filter invalid traffic (such as bots, repeated automated clicks, and our own internal testing) and do not charge for it. If invalid activity is identified after billing, we will credit your account.

8.3

Questions about billed figures must be raised within 30 days of the Campaign end date.

9. Changes and cancellation

9.1

You may pause, edit or cancel a Campaign in the Advertiser Dashboard. Edited Creative goes through review again.

9.2

CPM/CPC Campaigns: you are charged only for delivery up to the time you cancel; the remaining budget is handled under clause 3.6.

9.3

Flat-fee and sponsorship Campaigns: cancellation more than [14] days before the start date receives a full refund; within [14] days of the start, [50]% of the fee is refundable; after the start, fees are non-refundable.

9.4

If we remove a Campaign for breach of these Terms, fees for delivery already made are not refundable.

10. Intellectual property

10.1

You keep ownership of your Creative. You grant Carico a non-exclusive, royalty-free licence to host, display, resize and format it on the Platform for the Campaign, and to show it in Carico's advertising materials [only with your permission].

10.2

You confirm you own or have permission to use everything in your Creative.

10.3

You may not use Carico's name, logo or trademarks without our written permission.

11. Liability and indemnity

11.1

We do not guarantee any results, sales, leads or return from a Campaign.

11.2

To the fullest extent permitted by law, Carico is not liable for indirect or consequential loss, lost profits or revenue, or loss caused by Platform downtime. Our total liability for any Campaign is limited to the amount you paid for that Campaign.

11.3

You will indemnify Carico against claims, fines, losses and costs arising from your Creative, your landing pages, your products or services, or your breach of these Terms or the law.

12. Suspension and termination

We may suspend or close your advertiser account if you breach these Terms, fail to pay, or we reasonably suspect fraud. You may close your account at any time; clauses 3.6 and 9 apply to any remaining balance.

13. Changes to these Terms

We'll give at least 30 days' notice of material changes. Campaigns already paid for continue on the Terms in force when you booked them.

14. Governing law and disputes

These Terms are governed by the laws of Jamaica. Disputes go first to good-faith discussion for 30 days, then (if either party chooses) mediation through the Dispute Resolution Foundation of Jamaica. If unresolved, the courts of Jamaica have exclusive jurisdiction.

15. General

These Terms, any written insertion order, the Terms of Use and the Privacy Policy form the entire agreement on advertising. If an insertion order conflicts with these Terms, the insertion order wins. You agree to contract and receive notices electronically under the Electronic Transactions Act. If any clause is unenforceable, the rest remains in effect.
